Overview and Definitions
If you choose to use certain Synthetic Acumen, Inc. (“We”, “Us”, “Our”) products or services displaying or otherwise governed by these Terms of Service, including ResearchGOAT.com, ResearchGOAT.ai, SyntheticAcumen.com and/or SyntheticAcumen.ai (the “Site”), mobile sites and applications, any of the features of the Site, including but not limited to RSS feeds, APIs, and Software (as defined below) and other downloads, collectively, the “Services”), you will be agreeing to abide by the terms and conditions of these Terms of Service between you and Synthetic Acumen, Inc. dba ResearchGOAT.

We may change, add or remove portions of these Terms of Service at any time by notifying you of the change in writing by updating the date above after “Last Updated On”). Such changes will become effective immediately upon posting. It is your responsibility to review these Terms of Service prior to each use of the Site.

You may cancel your account or terminate the use of Services at any time. Your continued use of the Site or Services after we post updated Terms of Service will constitute your acceptance of any changes and modifications.

We may change, suspend or discontinue any aspect of the Services at any time, including the availability of any Services feature, database or content. We may also impose limits on certain features and services or restrict your access to parts or all of the Services without notice or liability.

General Content
The contents of the Services, including the Site, are intended for your personal, non-commercial use. All materials published or available on the Services (including, but not limited to text, photographs, images, illustrations, designs, audio clips, video clips, “look and feel,” metadata, data, or compilations, all also known as the “Content”) are protected by copyright, and owned or controlled by Synthetic Acumen, Inc. or the party credited as the owner of the Content. You agree to abide by all additional copyright notices, information or restrictions contained in any Content accessed through the Service. Non-commercial use does not include the use of Content in connection with: (1) the development of any software program, specifically including, but not limited to, training a machine learning or artificial intelligence (AI) system; or (2) providing archived or cached data sets containing Content to another person or entity.

The Services and Content may be protected by copyrights, trademarks, patents, trade secrets, database rights and other intellectual or proprietary rights in or to the Services and Content pursuant to U.S. and international laws. You may not modify, publish, transmit, participate in the transfer or sale of, reproduce, create new works from, distribute, perform, display (including framing and inline linking), communicate to the public or in any way exploit, any of the Content, Services or Software.

User Generated Content, Study Participation and Comments
If you record, upload, post or submit any content on the Service, you represent to us that you have all the necessary legal rights to upload, post or submit such content and it will not violate any law or the rights of any person. You agree to refrain from libelous, defamatory, obscene, pornographic, abusive or otherwise illegal material. You agree to provide your true identity and refrain from impersonating anyone else or otherwise misrepresenting your identity, affiliation or status. You agree to refrain from introducing malware, viruses, spyware, or other malicious software or files to the Services. Personal attacks or deliberate manipulation to produce inaccurate or false study results are a direct violation of these Terms of Service and are grounds for immediate and permanent suspension of access to all or part of the Service. You agree to refrain from collecting, storing, or using any user information for any purpose not expressly permitted by these Terms of Service.

You grant Synthetic Acumen, Inc. a perpetual, nonexclusive, world-wide, royalty-free, sub-licensable license to the Submissions, which includes without limitation the right to allow us any third party we designate, to use, copy, transmit, excerpt, publish, distribute, publicly display, publicly perform, communicate to the public, create derivative works of, host, index, cache, tag, encode, modify and adapt (including without limitation the right to adapt to streaming, downloading, broadcast, mobile, digital, thumbnail, scanning or other technologies) in any form or media now known or developed at any time from now until the end of the universe, any Submission posted by you on or to the Services or any other website owned by us or our affiliates. We may license your voluntary participation in studies to third parties for academic, governmental, financial and corporate use. In these cases, steps are taken to remove personal information from information.

Interview Consent
If you choose to participate in a research study or other Services you will be interviewed for a set period by Generative Artificial Intelligence (Gen AI). In general your interview will take place over 15, 30, 60 or 90 minutes of questions posed by the Gen AI and your recorded responses. We don’t anticipate that there are any significant risks associated with your participation, but you have the right to stop the interview or withdraw from the research at any time. If, however, you elect to terminate the interview prior to completion, you will not be eligible for any incentive offering in connection with your completion of the interview. Your participation is strictly voluntary in your sole and absolute discretion. Your interview will be recorded by audio and video and a transcript created from the recording. Upon request, you may review the transcript to correct any factual errors. The transcript of the interview will be analyzed by Gen IA and an summary of insights from your interview along with an aggregate analysis of all interview from the study created. Access to the interview transcript and analysis will include employees and affiliates of Synthetic Acumen, Inc. as well as the party/ies who commissioned the study along with colleagues and researchers collaborating as part of the research process. Any summary interview content, or direct quotations from the interview, that are made available through publication to the general public will be identified by first name only. However, there is no guarantee that your full identity will not be associated with your interview. You also understand and agree that your words may be quoted verbatim and associated with you. All or any part of the content of your interview may be used in any way by Synthetic Acumen, Inc. or the party/ies commissioning the study without compensation beyond the incentive offered for the interview,

Code of Conduct
You agree not to upload, post or transmit to, or distribute or otherwise publish through the Site or during the provision of Services any materials which (i) restrict or inhibit any other user from using the Site, (ii) contain a virus, spyware or other harmful component, (iii) violate any laws or violate or infringe any legal or contractual rights of third parties (including copyright, trademark, rights of privacy or publicity or any other proprietary right), (iv) are not appropriate or pertinent to the purpose of the Web Site, or (v) are libelous, defamatory or offensive.

You agree to abide by these rules of conduct:

  • You agree to refrain from posting or sending unsolicited commercial or business information or messages (for example, SPAM communications), nor will you advertise or offer to sell any goods or services, promote any surveys, contests, sweepstakes or chain letters.
  • You will not use behavior that does not support a safe and comfortable environment or engage in any proselytizing or commercial activity.
  • You will not use language which:  (i) violates or infringes in any way on the rights of others, (ii) is threatening, abusive, defamatory, vulgar, obscene, profane, indecent or otherwise objectionable, (iii) suggests or encourages conduct which is a state or federal offense or gives rise to civil liability or otherwise violates any state or federal law, (iv) is invasive of privacy or publicity rights, or (v) in our sole and exclusive opinion restricts, taints or inhibits others from enjoying or using the Site or Services.
  • You agree to not solicit for employment (as applicant or employer).
  • You agree to receive emails and, if applicable, other communications, from others necessary to assist the customary operation of the Site or Services.

Prohibited Uses
You may not access or use, or attempt to access or use, the Services to take any action that could harm us or a third party. You may not use the Services in violation of applicable laws, including export controls and sanctions, or in violation of our or any third party’s intellectual property or other proprietary or legal rights. You further agree that you will not attempt (or encourage or support anyone else’s attempt) to circumvent, reverse engineer, decrypt or otherwise alter or interfere with the Services, or any content of the Services, or make any unauthorized use of the Services.

Representations and Warranties
You represent, warrant and covenant: (1) that no materials of any kind submitted through your account will: (a) violate, plagiarize or infringe upon the rights of any third party, including copyright, trademark, privacy or other personal or proprietary rights, or (b) contain libelous or otherwise unlawful material; (2) that you are at least thirteen years old if you are in the USA and the UK, and sixteen years old anywhere else; and (3) if you are under eighteen years old, your parent or legal guardian has read these Terms of Service and agreed to them and your use of the Service.

You hereby indemnify, defend and hold harmless Synthetic Acumen, Inc. and all officers, directors, owners, agents, information providers, affiliates, licensors and licensees (collectively, the “Indemnified Parties”) from and against any and all liability and costs, including, without limitation, reasonable attorneys’ fees, incurred by the Indemnified Parties in connection with any claim arising out of: (1) any breach by you or any user of your account of these Terms of Service or the foregoing representations, warranties and covenants; or (2) your gross negligence or willful misconduct.

Limitation of Liability
To the maximum extent possible the Services and Software are provided on an “As Is” basis without warranties of any kind. Including without limitation warranties of merchantability or fitness for any particular purpose. We do not warrant that our Services will be available uninterrupted or error-free. Your use of the Services and Software is at your sole risk.

We expressly disclaim liability for indirect, incidental, consequential, special, punitive or exemplary damages, including without limitation, lost profits, lost savings, lost revenue, lost reputation, lost goodwill or software/computer malfunction.

Severability and Waiver
In the event any provision of these Terms of Service, in whole or in part, is invalid, unenforceable or in conflict with the applicable laws or regulations of any jurisdiction, such provision will be replaced, to the extent possible, with a provision which accomplishes the original business purposes of the provision in a valid and enforceable manner, and the remainder of these Terms of Service will remain unaffected and in full force. Failure at any time to enforce any of the provisions of these Terms of Service shall not be deemed to be a waiver of such or any other provision hereof.

Registered Users
As part of the registration or account creation process, you will create login credentials by selecting a password and providing an e-mail address or by linking another account, such as your Apple, Facebook, X or Google accounts. You also can be requested to provide certain registration information, which must be accurate and updated.

Each registration is for a single user only. You are not allowed to share your registration login credentials or give your login credentials to anyone else. We may cancel or suspend your access to the Services if you share your login credentials. You are responsible for maintaining the confidentiality of your password,

You consent to receive notifications from us electronically to the e-mail address you provide to us. You agree that all notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing. You agree that you have the ability to store such electronic communications such that they remain accessible to you in an unchanged form.

You understand and agree that in order to provide you with access to the Services and distinguish you from other subscribers (such as your IP address, email address or name) we must retain certain Personally Identifiable Information (PII) to distinguish you from other users.

We do not guarantee or warrant that any of the Services will be free from viruses or other code that may have contaminating or destructive elements. It is your responsibility to implement appropriate IT security safeguards (including anti-virus and other security checks) to satisfy your particular requirements as to the safety and reliability of the Services.

If you choose to use certain Services to conduct research interviews or subscribe to our Services, we reserve the right at any time to charge or change fees for access to portions of the Services or the Services as a whole. In no event, however, will you be charged additional amounts for the Services without your prior agreement to pay such increased charges. Thus, if at any time we require a fee for portions of the Services that are now free, we will give you advance notice of such fees. You may cancel your account at any time You must pay all fees and charges incurred through your account at the rates in effect at the time you use the Services in which such fees and charges are incurred, including, but not limited to charges for any digital products or services offered for sale through the Services by us or by any other vendor or service provider. All fees and charges will be billed to and paid for by you. You shall pay all applicable taxes relating to use of the Services through your account.

Any content that you submit to Synthetic Acumen may or may not be used by us or our customers. We do not guarantee that you will have any recourse to edit or delete any content you have submitted. You acknowledge that you are responsible for the contents of your submission(s).

Intellectual Property Ownership
You hereby irrevocably assign to Synthetic Acumen, Inc. all rights in any ideas or expressions of ideas that you submit through Site or in connection with research studies conducted through our Services. All comments, suggestions, graphics, ideas (including product and advertising ideas),and other information or materials you submit to us are provided voluntarily and of your exclusive free will and become and remain the exclusive property of Synthetic Acumen, Inc., including any future rights associated with such submissions, even if these Terms of Service are later modified or terminated. This means that you disclaim any proprietary rights in such submissions, and you acknowledge our unrestricted right to use them (or materials or ideas similar to them) in any medium, now and in the future, without notice, compensation or other obligation to you or any other person or entity. It also means we have no obligation to keep your submissions confidential. We have the right to use in any manner, within the Site or elsewhere, your name, likeness, voice, biographical and biometric material and other information concerning you that you provide to the Site, in connection with any content you provide to the Site or during the provision of Services. You agree that any information you provide about yourself in connection with your submissions may be used to identify you as the originator of such submission. You acknowledge that any ideas or suggestions that you submit, to the best of your knowledge, do not utilize proprietary, confidential or inside information belonging to any other person or entity, and are not subject to any third party agreements, nor will we be required to pay or incur any sums to any person or entity as a result of our or our clients’ use of them. You agree to refrain from posting or linking to any material owned by a third party without the express permission of the owner of the content.

Copyright and Trademarks
The Site is protected by applicable copyright laws. You may not publicize, copy, download, distribute, modify, post or frame-in, or link to the Site or any portion of the Site, including any text, graphics, video, audio, software code, user interface design or logos without our express written permission. All trademarks and service marks on the Site belong to Synthetic Acumen, Inc. or an affiliate, except third-party trademarks and service marks, which are the property of their respective owners.

If you believe that your work has been copied in a way that constitutes copyright infringement, you can provide us with the following information:

  • A physical or electronic signature of a person authorized to act on behalf of the owner of the copyright allegedly infringed;
  • A description of the copyrighted work that you claim has been infringed, or, if multiple copyrighted works are the subject of a single notice, a representative list of such works;
  • An identification of the allegedly infringing material, and a description of where that material is located on the Site;
  • Your address, telephone number and email address;
  • A statement by you that you have a good faith belief that use of the disputed material in the manner complained of is not authorized by the copyright owner, its agent, or the law; and
  • A statement by you, made under penalty of perjury, that the information you provide in your notice is accurate and that you are the owner of the allegedly infringed copyright, or that you are authorized to act on behalf of the copyright owner.

Third Party Content and Websites
The Services may contain links to third-party websites and resources (collectively, “Linked Content”). We do not control, endorse, sponsor, recommend or otherwise accept responsibility for any of this Linked Content. Because we are not responsible for the availability of these outside resources, or their contents or privacy practices, you should direct any concerns regarding any Linked Content to such site.

Software License
We grant you a limited, revocable and non-transferable license to use the mobile applications (“Apps”) on devices you own or have a legal right to use in accordance with these Terms of Service, the Terms of Sale (where applicable) and any additional terms specific to the particular application. You have no rights to the proprietary software and related documentation, or any enhancements or modifications thereto, provided to you in order to access the Services. You may not sublicense, assign or transfer any licenses granted by us, and any attempt at such sublicense, assignment or transfer will be null and void. You may make one copy of such Software for archival purposes only. You may not otherwise copy, distribute, modify, reverse engineer or create derivative works from Software.

You may terminate your account at any time by contacting us at info@syntheticacumen.com. We may, in or sole discretion, terminate or suspend your access to all or part of the Services for any reason, including, without limitation, breach or assignment of these Terms of Service. The provisions of these Terms of Service will survive the termination of your account or access to all or part of the Services.

Governing Law, Venue and Jurisdiction
These Terms of Service have been made and will be construed and enforced in accordance with the laws and courts of the United States of America located in the State of Georgia, Counties of Fulton or DeKalb as an agreement wholly performed in the State of Georgia without regard to their conflict of law provisions and the United Nations Conventions on Contracts (if applicable). Any claim or cause of action arising out of or related to use of the Services or these Terms of Services must be filed within one year after such claim or cause of action arose or be forever barred. Any claim by you that may arise in connection with these Terms of Service will be compensable by monetary damages and you will in no event be entitled to injunctive or other equitable relief.

These Terms of Service have been made in and will be construed and enforced in accordance with Georgia law.

Nothing in these Terms of Service will serve to preempt the promises made in our Privacy Policy.

Our failure to enforce any provision of these Terms of Service or to respond to a breach by you or other parties will not in any way constitute a waiver of our right to enforce subsequently any terms or conditions of these Terms of Service or to act with respect to similar breaches.
If you are a California resident, under California Civil Code Section 1789.3, you may contact us via chat or phone at our headquarters in order to resolve a complaint regarding the Services or to receive further information regarding use of the Services. You may also contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 N. Supplemental Terms for Beta Testing (Only Applicable to Beta Test Users)
Synthetic Acumen, Inc. may invite you to review and evaluate Services, software, applications, downloads or other features prior to their public or commercial release (hereafter “Beta Testing”). If you choose to participate in Beta Testing, you agree to be bound by these additional terms and voluntarily to provide us with certain feedback and suggestions regarding your experiences while reviewing and evaluating the Beta Testing. we may ask you to enter into a confidentiality agreement for each specific Beta Test. If so, your participation is subject to that confidentiality agreement, in addition to the following terms and conditions which apply to all Beta Testing.

You further agree that the Beta Testing and any materials in the Beta Testing, including content, are our confidential or proprietary information. You agree as a condition of participating in Beta Testing to: (1) not copy or reproduce the beta content; (2) safeguard the content and prevent unauthorized access to, reproduction of, disclosure of and/or unauthorized use of, the beta content; and (3) if applicable, fully comply with the terms and conditions of the confidentiality agreement.

You agree that breach of the above obligations will cause irreparable harm to Synthetic Acumen, Inc. and we will be entitled to (in addition to any other remedies available to it) injunctive or other equitable relief to prevent the breach or threatened breach of your obligations. Your obligation to keep the beta content confidential will continue until we publicly distribute or have otherwise disclosed to the public through no fault of yours, the beta content you are testing. Upon request, you agree to immediately delete all copies of the beta content provided to you.

You are invited to use Beta Testing for the sole purpose of evaluating the Beta Testing and assisting us in identifying errors or impediments to full commercial functionality. Nothing will be construed as granting you any rights or privileges of any kind with respect to the Beta Testing or other content. Beta Testing is provided on an “as is” and “as available” basis and we make no warranty to you of any kind, express or implied.

By participating in Beta Testing, you agree that: (1) participating in Beta Testing is at your own risk and you know that the Beta Testing may include known or unknown bugs; (2) any status indicators or preferences saved within Beta Testing may be erased at any time; (3) we have no obligation to make Beta Testing available with or without charge for any period of time, nor to make them available at all; (4) these Terms also apply to your use of the Beta Testing; (5) if requested, you will keep all information about the Beta Testing confidential as stated above; (6) any feedback you provide will become our property without any right to compensation or other obligation from; (7) we may (or may not) use or otherwise exploit all or part of your feedback or any derivative of it in any manner or media now known without any further remuneration, compensation or credit to you; (8) your participation to the Beta Testing is on a purely voluntary basis and in consideration of the opportunity to assist us with Beta Testing; and (9) nothing in your participation in the Beta Testing creates any employment relationship between you and us.
